Terms and Conditions

CoinBackUp Buddy – Premium Digital Asset Trading Platform

By accessing or using the Platform, completing the registration process, or paying the registration fee, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

We reserve the right to modify these Terms at any time. We will notify you of material changes via the Platform or registered email. Your continued use after such changes constitutes acceptance of the revised Terms.

2. Platform Description and Services

Coin Back Up Buddy is a non-custodial digital asset trading facilitation platform that enables users to buy, sell, and trade cryptocurrencies.

• We do not hold, manage, store, or control any user funds, cryptocurrencies, or private keys at any time.
• The Platform acts solely as a technical facilitator connecting users to trading opportunities and the Metamorpho Vault, a diversified liquidity vault.
• Upon payment of the one-time registration fee and successful registration, the Platform's intelligent allocation system connects your account to the Metamorpho Vault for access to a portfolio of cryptocurrencies.
• All assets remain under your sole control via your own wallets and private keys.

Important: The Platform is not an investment advisory service, does not provide financial advice, and does not guarantee profits, price appreciation, or performance of any assets, including those in the Metamorpho Vault.

3. Eligibility

To use the Platform, you represent and warrant that:

• You are at least 18 years old (or the age of majority in your jurisdiction).
• You have the legal capacity to enter into these Terms.
• You are not a resident or citizen of a jurisdiction where cryptocurrency trading or use of the Platform is prohibited.
• You are not on any sanctions lists (e.g., OFAC, UN, or equivalent).
• You will comply with all applicable laws, including anti-money laundering (AML) and counter-terrorism financing (CTF) regulations.

4. Registration and One-Time Fee

• Access requires a one-time non-refundable registration fee of R500 (South African Rand).
• Payment of the fee grants you a license to use the Platform's trading interface and vault connection features.
• You are responsible for providing accurate registration information and maintaining the security of your account credentials and wallet private keys.
• We reserve the right to refuse or terminate registration at our sole discretion.

5. Non-Custodial Nature and User Control

You retain full ownership, control, and responsibility over your digital assets and private keys at all times. The Platform does not custody assets. Any interaction with the Metamorpho Vault or blockchain networks occurs through your own wallet connections. You bear sole responsibility for:

• Securing your private keys and wallet access.
• All transactions initiated from your wallet.
• Any loss resulting from unauthorized access to your wallet or failure to secure your credentials.

6. Trading and Vault Features

• The Platform supports spot trading, limit orders, market orders, and access to the Metamorpho Vault's diversified cryptocurrency portfolio.
• Asset appreciation in the vault, if any, occurs through market dynamics, on-chain activity, and ecosystem growth — not through any guaranteed mechanism provided by us.
• We do not guarantee liquidity, price performance, or the availability of specific assets.
• All trades are executed on-chain or via integrated third-party protocols at your direction and risk.

7. Risks

Cryptocurrency trading and blockchain-based assets involve significant risks, including but not limited to:

• Extreme price volatility and potential total loss of capital.
• Regulatory uncertainty and changes in law.
• Technical risks (smart contract failures, network congestion, hacking).
• Liquidity risks.
• Tax implications (you are solely responsible for your taxes).

You acknowledge and accept these risks. The Company is not liable for any losses you may incur.

8. Fees and Charges

• The only fee charged by the Platform is the one-time R500 registration fee.
• You may incur blockchain network fees (gas), third-party exchange fees, or vault-related costs, which are your responsibility.
• No recurring platform subscription or trading fees are charged by Coin Back Up Buddy.

9. Prohibited Activities

You agree not to:

• Use the Platform for any illegal, fraudulent, or money-laundering activities.
• Attempt to gain unauthorized access to the Platform or other users' accounts.
• Manipulate markets, engage in wash trading, or conduct any deceptive practices.
• Reverse engineer, copy, or modify the Platform's software.
• Use the Platform if you are subject to sanctions or reside in prohibited jurisdictions.

Violation may result in immediate account suspension or termination.

10. Intellectual Property

All content, logos, interfaces, and technology on the Platform are owned by or licensed to Coin Back Up Buddy. You are granted a limited, revocable, non-exclusive license to use the Platform for personal trading purposes only. You may not reproduce, distribute, or create derivative works without prior written consent.

11. Privacy and Data

Your use of the Platform is also governed by our Privacy Policy (available on the Platform). By using the Platform, you consent to the collection and processing of your data as described therein.

12. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Limitation of Liability

To the fullest extent permitted by law, the Company, its affiliates, directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or assets, even if advised of the possibility of such damages.

Our total aggregate liability shall not exceed the registration fee paid by you (R500).

14. Indemnification

You agree to indemnify, defend, and hold harmless the Company from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Platform, violation of these Terms, or breach of any applicable law.

15. Termination

We may terminate or suspend your access to the Platform at any time, with or without cause, including for breach of these Terms. Upon termination, your license to use the Platform ends, but you retain control of your assets and wallets. The one-time registration fee is non-refundable.

16. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Republic of South Africa. Any disputes shall be resolved exclusively in the courts of South Africa.

You agree to resolve any disputes through binding arbitration where legally required, before pursuing litigation.

17. Miscellaneous

• These Terms constitute the entire agreement between you and us.
• If any provision is held invalid, the remainder remains in effect.
• Our failure to enforce any right does not waive that right.
• You may not assign your rights or obligations without our consent. We may assign these Terms freely.
